Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and CozziTech LLC (“we,” “us,” or “our”) and govern your use of the ctFamilyMinder mobile application, web application, and related services (collectively, the “Service”).

By creating an account, downloading the app, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Important medical disclaimer

ctFamilyMinder is not a medical device, electronic health record (EHR), telemedicine provider, pharmacy, clinical decision-support tool, or substitute for professional medical advice, diagnosis, or treatment.

  • The Service is a personal organization and communication tool for families coordinating care for a loved one. Any health-related information you store in the Service (medications, allergies, conditions, appointments, notes, documents, visit summaries) is information you enter or upload — we do not verify it for medical accuracy, completeness, or safety.
  • Always consult a qualified healthcare professional with any questions about a medical condition, medication, dosage, allergy, or treatment plan. Never disregard professional medical advice or delay seeking it because of something you read or recorded in ctFamilyMinder.
  • Optional AI-assisted features (for example, parsing a typed or photographed medication list into structured entries) are convenience tools only. Their output may be incomplete or wrong. You are responsible for reviewing and correcting every AI-generated entry before relying on it.
  • In a medical emergency, call your local emergency number (e.g., 911 in the United States) immediately. Do not use ctFamilyMinder to communicate emergencies.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to create an account. The Service is not directed to children. An adult Family member may include a child as the subject of a Care Profile; the adult account holder is responsible for the data entered and for any required consents.

3. Your account

  • You must provide accurate information when you register and keep it up to date.
  • You are responsible for keeping your password and any biometric or passkey credentials confidential, and for all activity that occurs under your account.
  • Notify us promptly at support@cozzitech.com if you suspect unauthorized access. We are not liable for losses caused by your failure to safeguard credentials.
  • You may close your account at any time from inside the app (Settings → Account → Delete Account) or by emailing support@cozzitech.com. See our Privacy Policy for what gets removed.

4. License to use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Service for your personal, non-commercial family care-coordination purposes. All right, title, and interest in the Service, including all intellectual property rights, remain with us or our licensors.

You may not (a) reverse engineer, decompile, or attempt to extract source code, except where this restriction is prohibited by law; (b) resell, sublicense, or commercially exploit the Service; (c) circumvent any security or access-control measures; or (d) use the Service to build a competing product.

5. Acceptable use

You agree not to use the Service to:

  • Violate any law, regulation, or third-party right.
  • Upload, store, or transmit content that is unlawful, harassing, defamatory, infringing, fraudulent, or malicious (including malware).
  • Store health information about a person without the legal authority to do so (for example, without their consent, or without proper authority as a parent, guardian, or healthcare proxy).
  • Use the Service to provide healthcare services, EHR functionality, or clinical workflows for patients in a regulated healthcare setting without entering into a separate written agreement with us (including, if applicable, a Business Associate Agreement under HIPAA — see Section 7).
  • Probe, scan, or test the Service for vulnerabilities except through a responsible-disclosure channel.
  • Interfere with or disrupt the Service, our infrastructure, or other users.
  • Attempt to gain unauthorized access to any account, data, or system.
  • Use automated tools (bots, scrapers) to access the Service outside of our published APIs.

We may suspend or terminate accounts that violate these rules, with or without notice, and may report suspected illegal activity to law enforcement.

6. Your content

You retain ownership of the content you submit, upload, or store in the Service (“Your Content”), including Care Profile data, documents, notes, tasks, contacts, and chat messages. You grant us a limited, worldwide, royalty-free license to host, store, process, transmit, and display Your Content solely as needed to operate the Service for you and the family members you share it with.

You represent and warrant that (a) you have the right to provide Your Content to the Service, (b) Your Content does not violate any law or third-party right, and (c) you have obtained all necessary consents from any individual whose personal information you upload (especially the person who is the subject of a Care Profile, where they are legally capable of consenting).

You are solely responsible for Your Content and for maintaining your own backups. While we take reasonable steps to protect Your Content (encryption at rest and in transit, role-based access, periodic backups), we do not warrant against all data loss.

7. HIPAA and regulated health workflows

ctFamilyMinder is sold directly to families for personal use. In that capacity it is generally not subject to HIPAA. If you are a Covered Entity or Business Associate (as defined under HIPAA) and intend to use the Service for any workflow involving Protected Health Information of patients, you must contact us at privacy@cozzitech.com before doing so. A separate Business Associate Agreement is required, and additional terms may apply.

8. AI-assisted features

Some features use third-party AI providers (currently OpenAI) to assist with tasks such as parsing a medication list from a photo or pasted text. By using these features you understand that:

  • The input you submit is sent to the AI provider for processing, under a Business Associate Agreement and contractual restrictions that prohibit the provider from training its models on your data.
  • AI output can be inaccurate, incomplete, or biased. You must review every AI-generated entry before saving or relying on it.
  • AI features are provided “as-is” and may be modified, paused, or removed at any time.

9. Subscriptions, billing, and refunds

The Service may offer free and paid plans. Paid subscriptions purchased through the Apple App Store or Google Play Store are billed, renewed, cancelled, and refunded entirely by the respective store under its terms — not by us. To manage or cancel a store-purchased subscription, use the subscription management screens in the App Store (iOS) or Play Store (Android).

Cancelling a subscription stops future renewals; access continues until the end of the paid period. Cancellation alone does not delete your account or data — use the in-app Delete Account flow for that.

If you purchase directly from our website (not through an app store), our own refund policy applies; contact support@cozzitech.com.

10. Service availability and changes

We work to keep the Service available, but we do not promise it will be uninterrupted, error-free, or secure against every threat. We may add, change, suspend, or remove features at any time. Where a change materially reduces the Service for paying users, we will provide reasonable notice and, where required by law, a pro-rated refund of fees paid for the affected period.

11. Third-party services

The Service relies on third-party providers (hosting, email delivery, address lookup, AI processing, app stores, push notification delivery, OTA updates). Their terms and privacy practices apply to your use of those features. See our Privacy Policy for the current list.

12. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted service, and freedom from viruses or other harmful components.

We do not warrant that any health-related information stored, displayed, or generated by the Service (including AI-parsed medication lists) is accurate, complete, current, or appropriate for any particular individual. Use of the Service is at your sole risk.

13. Limitation of liability

To the fullest extent permitted by law, in no event will CozziTech LLC, its officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of (or inability to use) the Service, even if advised of the possibility of such damages.

Our total cumulative liability arising out of or related to these Terms or the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) US $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the smallest extent permitted by law.

14. Indemnification

You agree to indemnify and hold harmless CozziTech LLC and its affiliates from any claim, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or related to (a) Your Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any law or third-party right.

15. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access — including, where appropriate, without prior notice — if you violate these Terms, if continued access creates legal or security risk, or if we discontinue the Service. Sections that by their nature should survive termination will survive (including Sections 6, 12, 13, 14, 17, and 18).

16. Apple App Store additional terms

If you obtained the iOS app through the Apple App Store, you acknowledge that these Terms are between you and CozziTech LLC only, and not with Apple. Apple is not responsible for the Service or its content. To the maximum extent permitted by law, Apple has no warranty obligation with respect to the Service. Apple is not responsible for addressing any claims by you or any third party relating to the Service. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right (and are deemed to have accepted the right) to enforce them against you.

17. Governing law and disputes

These Terms are governed by the laws of the State in which CozziTech LLC maintains its principal place of business, without regard to its conflict-of-laws rules. The exclusive venue for any dispute that is not subject to arbitration will be the state or federal courts located in that state, and you consent to personal jurisdiction there.

Nothing in these Terms limits either party's right to seek injunctive or other equitable relief from any court of competent jurisdiction. Where required by law, consumers retain the right to bring claims in their local courts and under the consumer protection laws of their place of residence.

18. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via in-app notice or email at least 14 days before they take effect. The “Last updated” date at the top of this page reflects the most recent revision. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

19. Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service.
  • Severability. If any provision is held unenforceable, the rest of these Terms remain in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, financing, or sale of assets.
  • Notices. We may give you notice via in-app banner, push notification, or to the email address on file. You may give us notice at support@cozzitech.com.
